REFERRAL AGREEMENT

This Referral Agreement (the "Agreement") is made and entered into on this [Date] by and between:

1. Parties

  • [Your Company's Name] ("Referrer"), a company incorporated in [Country, e.g., the United Kingdom] with registered address at [Your Company's Address].
  • [Travel Agency's Name] ("Travel Agency"), a company incorporated in [Country, e.g., the United Kingdom] with registered address at [Travel Agency's Address].

The Referrer and Travel Agency are each individually referred to as a "Party" and collectively as the "Parties."


2. Purpose of Agreement

The purpose of this Agreement is to set out the terms under which the Referrer will refer potential customers to the Travel Agency and, in exchange, will receive a referral fee from the Travel Agency for any successful business resulting from such referrals.


3. Referral Fee

3.1 Amount and Calculation: The Travel Agency agrees to pay the Referrer a referral fee of [Percentage or Fixed Amount] of the net revenue from each customer referred by the Referrer who completes a purchase of travel services through the Travel Agency.

4.2 Marketing and Compliance: The Referrer shall promote the Travel Agency's services in accordance with applicable UK advertising laws, including regulations around misleading or deceptive claims, and shall ensure any promotional material is pre-approved by the Travel Agency.

4.3 Compliance with Data Protection Laws: The Referrer shall comply with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018 when handling any personal data related to customers referred to the Travel Agency.


5. Responsibilities of the Travel Agency

5.1 Service Delivery: The Travel Agency shall provide travel services to referred customers in accordance with its usual standards of service, and in compliance with all applicable laws and industry regulations.

5.2 Customer Communications: The Travel Agency shall be responsible for all communications, bookings, and transactions with referred customers.

5.3 Indemnification: The Travel Agency shall indemnify the Referrer against any claims, losses, or damages arising from the Travel Agency's delivery or failure to deliver travel services.


6. Confidentiality

6.1 Confidential Information: Both Parties agree to treat all information exchanged under this Agreement as confidential and not to disclose it to third parties without prior written consent, except as required by law.

6.2 Data Protection Compliance: Both Parties shall comply with applicable UK data protection regulations, including the GDPR, with regard to the handling, storage, and processing of personal data.


7. Term and Termination

7.1 Term: This Agreement shall commence on [Start Date] and shall remain in effect until terminated by either Party in writing.

7.2 Termination for Convenience: Either Party may terminate this Agreement with [30] days' written notice to the other Party.

8.2 Mediation: If the dispute cannot be resolved by negotiation within [30] days, the Parties agree to attempt to resolve it through mediation before resorting to court proceedings.

8.3 Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any disputes.


9. Miscellaneous

9.1 Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings related to its subject matter.

9.2 Amendments: Any amendment to this Agreement must be made in writing and signed by both Parties.

9.3 Assignment: Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party.

9.4 Severability: If any provision of this Agreement is found to be unenforceable or invalid, the remainder of the Agreement shall remain in effect.
